These terms govern the arrangement between you and Halcyon Compute when you engage our advisory services for model deployment operations. Please read them with care before proceeding.
Definitions
Throughout this document, the following terms carry the meanings described below:
- "Agreement" — these Terms & Conditions, together with any engagement letter or written scope document issued by Halcyon Compute.
- "We / Us / Our" — Halcyon Compute, a company operating at No. 8, Persiaran APEC, Cyber 8, 63000 Cyberjaya, Malaysia.
- "You / User / Client" — any individual, team, or organisation that engages our advisory services or accesses this website.
- "Services" — the deployment operations advisory engagements described on our website, including walkthroughs, workshops, and retainer arrangements.
- "Content" — written materials, runbooks, worksheets, summaries, and any other deliverables produced during an engagement.
- "Session" — a facilitated meeting, call, or working session scheduled as part of a service engagement.
Acceptance of Terms
By submitting an enquiry, signing an engagement letter, or making a payment for any of our services, you confirm that you have read and understood these terms and agree to be bound by them.
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement on behalf of yourself or your organisation. If you are accepting on behalf of a company, you represent that you have the authority to do so.
If you do not agree with any part of these terms, we ask that you refrain from engaging our services and contact us to discuss concerns before proceeding.
Service Description
Halcyon Compute provides advisory services focused on model deployment operations. These are educational, operational, and advisory in nature. They are designed to support engineering teams in organising and improving their deployment practices.
Our current service offerings are:
- Deployment Readiness Walkthrough — a half-day structured review covering packaging, monitoring, and rollback practices. Includes a readiness rubric and written summary.
- Serving Pipeline Tuning Workshop — a two-session facilitated workshop exploring batching, caching, and resource scheduling. Includes a tuning worksheet and follow-up note.
- Operations Advisory Retainer — a three-month engagement with scheduled calls and documentation support. Includes a living runbook and review notes.
Services are available to clients in Malaysia and, subject to mutual agreement, to clients in other jurisdictions. All sessions are conducted in English unless otherwise agreed.
User Responsibilities
To enable productive engagements, you agree to:
- Attend scheduled sessions at the agreed time or provide reasonable notice of changes.
- Provide relevant context, access, and materials necessary for the service to proceed effectively.
- Ensure that team members attending sessions have appropriate technical background for the scope agreed.
- Use our deliverables and guidance responsibly, with your own team's review and judgment applied before implementation.
- Treat session participants with courtesy and professionalism throughout the engagement.
You must not misrepresent your organisation's context or objectives in a manner that would materially affect the advice we provide. If circumstances change during an engagement, you agree to inform us promptly.
Use of our services for purposes other than your own organisation's deployment operations improvement requires our prior written consent.
Intellectual Property
All frameworks, rubrics, templates, and base documentation that Halcyon Compute brings to an engagement remain our intellectual property. We retain ownership of any materials, structures, or methods that we developed independent of your specific engagement.
Deliverables produced specifically for your engagement — such as your tailored runbook, readiness summary, or tuning worksheet — are licensed to you for internal use within your organisation. This licence is non-exclusive and non-transferable. You may not resell, sublicense, or distribute these materials outside your organisation without our written agreement.
Any general patterns, anonymised learnings, or non-identifying insights derived from our work together may be used by Halcyon Compute to improve our methods and materials.
Payment Terms
Our services are priced in Malaysian Ringgit (RM). Current pricing as listed on our website:
Payment is due prior to or at the start of the first session, unless a different arrangement is agreed in writing. For the retainer, we will discuss a schedule that works for both parties at time of engagement.
Accepted payment methods will be confirmed at time of engagement. We do not store payment credentials on our systems.
If a session needs to be rescheduled due to circumstances on our side, we will work with you to find an alternative without penalty. If you need to reschedule, please notify us at least two business days in advance. Requests to reschedule received with less notice may be treated as attended for payment purposes, at our discretion.
Service Delivery Terms
Services are delivered remotely via video call or, where agreed, in person at your premises in Malaysia. The preferred platform and logistics will be confirmed before each engagement begins.
Written deliverables (summaries, worksheets, runbooks) will be provided within the timeframe stated in your engagement brief. Our standard aim is to deliver documentation within three working days of the final session.
Scope changes during an engagement should be discussed and agreed in writing before implementation. Additional work outside the original scope will be quoted separately.
Our advisory is based on the information you provide and our general experience with model deployment operations. We apply care and professional judgement, but cannot account for conditions, systems, or constraints that are not disclosed to us during the engagement.
Disclaimers
Our services are educational and advisory in nature. We provide structured guidance based on operational experience and good practice. We do not provide engineering implementation, regulated professional services, or any form of guarantee regarding production outcomes.
The materials and recommendations we produce reflect our professional judgement based on the information available to us. Your team retains responsibility for reviewing, validating, and deciding whether to implement any suggestions in your specific environment.
We do not warrant that our guidance will produce specific system performance levels, eliminate operational incidents, or meet any particular technical benchmark. Outcomes depend substantially on factors within your organisation's control.
Limitation of Liability
To the extent permitted by Malaysian law, Halcyon Compute's total liability to you in connection with any engagement shall not exceed the fees paid for that specific engagement.
We shall not be liable for indirect, consequential, or incidental losses, including but not limited to loss of data, loss of revenue, or disruption to operations, even if we have been advised of the possibility of such outcomes.
Nothing in these terms excludes liability for fraud, wilful misconduct, or any other liability that cannot lawfully be excluded under Malaysian law.
Indemnification
You agree to indemnify and hold harmless Halcyon Compute, its staff, and associates from any claims, costs, or losses arising from your misuse of our services, your breach of these terms, or any action your organisation takes based on our advisory that departs materially from the guidance provided.
Termination
Either party may end an engagement by giving written notice. For retainer arrangements, a minimum of fourteen calendar days' notice is requested.
If an engagement is ended early, fees will be calculated on a pro-rata basis for work completed or sessions held, with any reasonable balance returned or invoiced accordingly.
We reserve the right to suspend or end an engagement if a client's conduct is disruptive, if material information was withheld at the time of engagement, or if continuing would place us in a position of conflict.
Dispute Resolution
These terms are governed by the laws of Malaysia. Both parties agree to first attempt to resolve any dispute through direct, good-faith discussion.
If a resolution is not reached within twenty-one days, either party may refer the matter to mediation through an agreed mediator before pursuing formal proceedings.
Any legal proceedings arising from these terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.
General Provisions
- Entire Agreement — These terms, together with any engagement letter, constitute the full agreement between the parties and supersede prior discussions on the same subject.
- Severability — If any provision of these terms is found to be unenforceable, the remaining provisions continue in full force.
- Waiver — A failure to enforce any term does not constitute a waiver of that term or our right to enforce it in the future.
- Assignment — You may not assign your rights or obligations under these terms without our prior written agreement. We may assign our obligations to a successor entity.
- Notices — Formal notices under these terms should be sent by email to [email protected] with a written acknowledgement requested.
Changes to These Terms
We may update these terms from time to time. When we do, we will revise the "Last Updated" date at the top of this page. Material changes will be communicated to active clients by email.
Continued engagement with our services after a change takes effect constitutes acceptance of the updated terms. If you have concerns about a change, we welcome a direct conversation.
